Terms of Service

1. Agreement to Terms
By accessing nectarprep.ca or using the services of Nectar Prep (“we”, “our”, or “us”), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a business, you represent that you have authority to bind that business to these terms.

2. Services
Nectar Prep provides Amazon FBA preparation and e-commerce logistics services, including:
- Product labelling and barcoding (FNSKU, UPC, EAN)
- Poly bagging, bubble wrapping, and protective packaging
- Bundling and kitting into multipacks or sets
- Inspection and quality control
- Warehouse storage in Ottawa, Ontario
- Freight forwarding to Amazon FBA and direct-to-customer (FBM)
- Returns processing and repackaging
- Product photography
- Custom / miscellaneous prep labour
The specific services, pricing, and service level applicable to your account are set out in the onboarding agreement or quote accepted by you and confirmed by us in writing.
3. Pricing & Payment
All prices are in Canadian dollars (CAD) unless otherwise stated. Our published rate card is available on our website and is subject to change with reasonable notice. The pricing applicable to your account will be the rate confirmed in your written agreement or accepted quote.
Invoices are due within the payment terms specified in your agreement. Late payments may be subject to interest at 2% per month (24% per annum). We reserve the right to suspend services for accounts with outstanding overdue balances.
Applicable taxes, including HST (Ontario), will be added to invoices where required by law.
4. Client Responsibilities
You agree to:
- Provide accurate product information, quantities, and preparation instructions
- Ensure all inventory shipped to our facility is legally sourced and compliant with applicable laws
- Not ship hazardous materials, prohibited items, or restricted goods without prior written authorization
- Notify us promptly of any changes to Amazon or marketplace requirements that affect prep standards
- Maintain adequate insurance coverage on your inventory while in transit and in storage
5. Our Liability for Errors
We take quality seriously. If we make a prep error (e.g., incorrect labelling or damaged item due to our handling), we will re-prep the affected units at no charge. Our liability for prep errors is limited to re-processing the affected units, or at our sole discretion, a credit equal to the prep fee charged for those units.
We are not liable for Amazon marketplace decisions, account suspensions, or listing performance arising from factors outside our control, including changes to Amazon's policies after we have completed prep to the standards communicated to us.
6. Storage & Inventory Risk
Inventory stored at our facility is kept in a secure, climate-controlled environment. However, we are not responsible for loss or damage resulting from events beyond our reasonable control, including but not limited to fire, flood, theft by third parties, or acts of God. We strongly recommend that clients maintain appropriate cargo/inventory insurance for all goods in our care.
Unclaimed inventory that remains at our facility for more than 60 days beyond agreed storage terms, without active communication, may be disposed of at our discretion after written notice to your last known email address.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Nectar Prep's total liability to you for any claim arising out of or relating to our services shall not exceed the total fees paid by you in the 90 days preceding the event giving rise to the claim.
In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost sales, even if we have been advised of the possibility of such damages.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information disclosed during the course of the relationship, and not to use such information for any purpose other than performing under these terms.
9. Termination
Either party may terminate the service relationship with 14 days' written notice. Upon termination, outstanding invoices become immediately due and payable. We will arrange for the return or disposal of your remaining inventory per your written instructions within 30 days, subject to applicable fees.
10. Governing Law & Disputes
These Terms of Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Ottawa, Ontario, Canada.
Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.
11. Changes to These Terms
We may update these Terms of Service from time to time. Material changes will be communicated to active clients via email at least 14 days before taking effect. Continued use of our services after the effective date constitutes acceptance of the revised terms.
